1. Agreement to Terms

By accessing or using RegSecure® ("the Service"), operated by Particular Ltd. ("we," "us," "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

RegSecure is a browser-based platform for encrypted video consultations, document signing, file sharing, session recording, and chat. The Service operates on a zero-backend architecture: all session content is processed within your browser and transmitted directly between participants via peer-to-peer connections.

We provide the software application and the connection infrastructure. We do not store, process, or have access to your session content.

3. Eligibility

The Service is intended for professional use by individuals who are at least 18 years old. By using the Service, you represent that you are of legal age and have the authority to enter into these terms.

4. Acceptable Use

You agree to use RegSecure only for lawful purposes. You may not:

• Use the Service for any illegal activity
• Attempt to interfere with, disrupt, or overload the Service or its infrastructure
• Attempt to gain unauthorized access to the relay server or other infrastructure
• Use the Service to transmit malware or other harmful content
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Record sessions without the knowledge and consent of all participants, except where permitted by applicable law
• Misrepresent your identity or impersonate another person
• Use the Service in a manner that violates any applicable law or regulation in your jurisdiction

5. User Responsibilities

5.1 Compliance

RegSecure provides technical tools that support compliance with regulatory frameworks such as HIPAA, GDPR, and FINRA. However, RegSecure does not certify or guarantee compliance with any regulatory framework. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and professional standards in your jurisdiction and industry.

5.2 Consent and Recording

You are responsible for obtaining all necessary consents from participants before starting a session, particularly before recording. RegSecure notifies all participants when recording begins, but the legal obligation to obtain consent rests with you.

5.3 Data You Create

Because all session content remains under your control (in your browser, on your device), you are solely responsible for any recordings, signed documents, shared files, or other data you create or download using the Service. We have no ability to recover, retrieve, or delete data on your device.

6. Intellectual Property

The RegSecure® platform, including its software, design, and branding, is the property of Particular Ltd. or its licensors. RegSecure® and Triangle Authentication™ are trademarks of Particular Ltd. You may not use our trademarks without prior written permission.

You retain all rights to content you create, share, or sign during sessions. We claim no ownership over your data.

7. Availability and Support

We strive to keep the Service available but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service unavailability.

8. Fees and Payment

Current pricing and plan details are available at regsecure.com. We reserve the right to change pricing with 30 days' notice. If you are on a paid plan, non-payment may result in suspension of access.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Service will be error-free, secure, or uninterrupted.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
• We are not responsible for the loss of recordings, documents, or other data that exists solely in your browser or on your device.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these terms, or your violation of any law or the rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time if you violate these terms. You may stop using the Service at any time. Since we do not store your data, there is no data deletion process required upon termination.

12. Changes to These Terms

We may modify these terms at any time. Changes will be posted on this page with an updated date. Your continued use of the Service after changes are posted constitutes acceptance of the modified terms. For material changes, we will provide notice on our website.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv, Israel.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
